Membership Agreement

1. Parties

a) İpekyolu Bitkisel Ürünler Pazarlama Anonim Şirketi, residing at Güzelyalı mah. Erdil Sok. No:28 Pendik/Istanbul, which operates the www.momordica.com.tr website (hereinafter referred to as İpekyolu).

b) The internet user who becomes a member of the www.momordica.com.tr website (“Member”)

2. Subject of the Agreement

The subject of this Agreement is to determine the terms and conditions under which the member may benefit from the website www.momordica.com.tr, which is owned by İpekyolu.

3. Rights and Obligations of the Parties

3.1. The Member declares and undertakes that the personal and other information provided while becoming a member of the www.momordica.com.tr website is accurate in the eyes of the law, and that they will indemnify İpekyolu for all damages incurred due to the inaccuracy of this information, in full and immediately.

3.2. The Member cannot share the password assigned to them by İpekyolu with other individuals or organizations; the right to use said password belongs exclusively to the member. For this reason, İpekyolu reserves the right to claim any compensation and other demands arising from such unauthorized use against all liabilities that may arise and all claims and demands that may be asserted against İpekyolu by third parties or authorized authorities.

3.3. The Member accepts and undertakes from the outset to comply with legal regulations and not to violate them while using the www.momordica.com.tr website. Otherwise, all legal and penal liabilities that may arise shall be fully and exclusively binding on the member.

3.4. The Member shall not use the www.momordica.com.tr website in any way that disrupts public order, violates general morality, disturbs or harasses others, for any illegal purpose, or in a way that infringes upon the intellectual property or copyrights of others. Furthermore, the member cannot engage in activities (spam, viruses, trojan horses, etc.) that prevent or complicate others' use of the services.

3.5. The ideas and thoughts declared, written, or used by members on the www.momordica.com.tr website are entirely their own personal opinions and bind the opinion holder. These views and thoughts have no connection or link to İpekyolu. İpekyolu has no responsibility for any damages that third parties may incur due to the ideas and views declared by the member, or for any damages that the member may incur due to the ideas and views declared by third parties.

3.6. İpekyolu shall not be responsible for the unauthorized reading of member data or any damages that may come to member software and data. The member has agreed in advance not to demand compensation from İpekyolu for any damage they may incur due to the use of the www.momordica.com.tr website.

3.7. The Member has agreed not to access or use the software and data of other internet users without authorization. Otherwise, the legal and penal responsibilities arising from this belong entirely to the member.

3.8. A member who violates one or several of the articles listed in this membership agreement shall be personally responsible for this violation in both legal and penal terms, and shall keep İpekyolu free from the legal and penal consequences of these violations. Furthermore, in the event that the incident is brought to the legal field due to this violation, İpekyolu reserves the right to claim compensation from the member for non-compliance with the membership agreement.

3.9. İpekyolu always has the right to unilaterally delete the member's membership and to delete files, documents, and information belonging to the customer when necessary. The member accepts this action in advance. In this case, İpekyolu has no responsibility.

3.10. The software and design of the www.momordica.com.tr website are the property of İpekyolu, and the copyrights and/or other intellectual property rights related to them are protected by relevant laws and cannot be used, acquired, or changed by the member without permission. Other companies and their products mentioned on this website are the trademarks of their respective owners and are also protected under intellectual property rights.

3.11. Some information, such as the name of the Internet service provider used to access the site and the Internet Protocol (IP) address, the date and time of access to the site, the pages accessed while on the site, and the Internet address of the website that provides direct connection to the site, may be collected by İpekyolu for the improvement and development of the www.momordica.com.tr website and/or within the framework of legal regulations.

3.12. İpekyolu may disclose the member's personal information when required as a legal obligation or in cases where it believes in good faith that it is necessary to (a) comply with legal requirements or legal processes served to İpekyolu; (b) protect and defend the rights and property of İpekyolu and the www.momordica.com.tr website family.

3.13. Measures have been taken within current possibilities to ensure that the www.momordica.com.tr website is free from viruses and similar malicious software. In addition, for final security, the user must provide their own virus protection system and ensure the necessary protection. In this context, by entering the www.momordica.com.tr website, the member is deemed to have accepted that they are responsible for all errors that may occur in their own software and operating systems and their direct or indirect consequences.

3.14. İpekyolu reserves the right to change the content of the site at any time, to change or terminate any service provided to users, or to delete user information and data registered on the www.momordica.com.tr website.

3.15. İpekyolu may change, update, or cancel the terms of the membership agreement at any time without the need for prior notice and/or warning. Any provision that is changed, updated, or repealed shall be effective for all members as of the date of publication.

3.16. The parties accept and declare that all computer records belonging to İpekyolu shall be taken as the sole, true, and exclusive evidence in accordance with Article 287 of the Code of Civil Procedure (HUMK), and that said records constitute an evidentiary agreement.

3.17. İpekyolu is authorized to send informational emails to the email addresses registered to it and informational SMS to the mobile phones of its members in accordance with this membership agreement; however, by approving this membership agreement, the member shall be deemed to have accepted the sending of informational emails to their email address and informational SMS to their mobile phone.

4. Termination of the Agreement

This agreement shall remain in effect until the member cancels their membership or the membership is canceled by İpekyolu. İpekyolu may terminate the agreement unilaterally by canceling the member's membership in the event that the member violates any provision of the membership agreement.

5. Settlement of Disputes

Istanbul Courts and Enforcement Offices are authorized to settle any disputes arising from this agreement.

6. Enforcement

The member's registration means that the member has read all the articles in the membership agreement and has accepted the articles contained therein. This Agreement was concluded at the moment the member became a member and entered into force mutually.
